Overview
We are seeking a talented Senior Counsel Corporate M&A attorney with 4-7 years of experience in public company M&A transactions. This individual will join a lean in-house team and will work on a variety of domestic and international M&A work and other corporate and commercial matters. The successful candidate is someone who embodies curiosity and passion and will embrace the opportunity to work in the novel tech field of next generation electric aviation.
Responsibilities
You will play a central role in a variety of M&A and corporate transactions including domestic and cross-border transactions, joint ventures, corporate finance transactions, and strategic partnership deals. You will work closely with other members of the legal team, as well as working directly with the Company’s business development team and other stakeholders across the Company. The scope of the role will include:
- Depending on the transaction, support senior members of the legal team on deals, or lead and manage the deal
- Manage due diligence process
- Draft and/or review acquisition agreements and ancillary transaction documents and negotiate such documents with confidence and expertise with the target parties
- Manage outside counsel and other external service providers
Required
- 4-7 years of M&A experience at a leading law firm. Experience must include complex company-side M&A transactions for public companies, including related equity issuances and public disclosure requirements
- Demonstrated experience managing key parts of M&A deal processes
- Excellent drafting and negotiation skills. Superior communication skills with a particular ability to translate complex legal concepts and risks into practical guidance for the business team and other stakeholders
- Excellent business sense and ability to identify and balance risk with growth, think strategically, and advance practical solutions
- Must thrive in a fast-paced environment and work effectively under tight deadlines with great attention to detail and organizational skill
- Must have a proactive, self-starter mentality with the ability to work independently while being a strong team player.
- JD from an accredited law school and admitted to practice law in at least one US state (CA preferred).

- In-house experience at a technology, aviation, or manufacturing company
- Significant M&A deal sheet demonstrating complexity and leadership on workstreams
- Interest in technology, aviation, or manufacturing
- Experience with cross-border deals and international joint ventures
- Experience drafting and negotiating commercial contracts and an interest in working on a broad range of general commercial work beyond just M&A work
- Values camaraderie and desires to work on a team of exceptional attorneys who care about the work and each other. A can-do attitude where no task is too small or large.
- Experience using IronClad contract management system
Additional Information
Compensation at Joby is a combination of base pay and Restricted Stock Units (RSUs). The target base pay for this position is $172,500 - $219,500. The compensation package will be determined by job-related knowledge, skills, and experience.
